2.1 Direct Services (Within Our License Scope)

Services provided directly by TRILLION THOUGHTS FZE LLC under our SPFZE trade license:

• Government Liaison: Interface with UAE authorities and free zone administrations
• Digital Platform Services: Cost calculation, client portal, and document management
• Project Management: Coordination and oversight of business setup processes

2.2 Brokered Services (Through Licensed Partners)

Services provided through our network of authorized and licensed partners:

• Legal Services: Provided by licensed UAE law firms and legal consultants
• Accounting & Auditing: Provided by certified public accountants and audit firms
• Banking Services: Facilitated through licensed bank representatives and relationship managers
• Specialized Compliance: VAT registration, corporate tax filing, and regulatory compliance through licensed practitioners
• Real Estate Services: Office leasing and property services through licensed real estate brokers
• Translation & Attestation: Document services through authorized translation and attestation agencies

2.3 Digital Platform Services

• Cost Calculator: Proprietary pricing estimation tool for business setup costs
• Document Management: Secure cloud-based document upload and processing system
• Client Portal: Real-time service tracking and communication platform
• Compliance Monitoring: Automated regulatory deadline reminders and updates
• CRM Integration: Lead management and customer relationship management

2.4 Service Delivery Model

Our comprehensive service delivery approach includes:

• Single Point of Contact: We act as your primary coordinator for all services
• Partner Network Management: We select, vet, and coordinate with specialized service providers
• Quality Assurance: We monitor and ensure quality standards across all partner services
• Consolidated Billing: Single invoice covering all services for simplified payment
• End-to-End Support: Complete project management from initiation to completion

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use our services, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Provide accurate and complete information
• Comply with UAE laws and regulations
• Not be subject to international sanctions or restrictions

3.2 Account Responsibilities

You are responsible for:

• Maintaining confidentiality of account credentials
• All activities conducted through your account
• Promptly notifying us of any unauthorized access
• Providing accurate and up-to-date information

4. Service Agreement and Engagement Process

4.1 Service Engagement

Our service relationship begins when:

• You submit a service request through our website or cost calculator
• We provide a formal quotation
• You accept the quotation and make the required payment
• We issue a service agreement or engagement letter

4.2 Service Scope

Each engagement includes:

• Clearly defined deliverables and timelines
• Government fee breakdown and professional service fees
• Required client responsibilities and document submission
• Processing timelines (subject to government processing times)

5. Fees and Payment Terms

5.1 Fee Structure

• Professional Service Fees: Our consultation and processing charges
• Government Fees: Official charges paid to UAE authorities
• Third-Party Costs: Bank charges, courier fees, document attestation
• Additional Services: Services requested beyond the initial scope

5.2 Payment Terms

• Payment Schedule: 50% advance, 50% upon service completion (unless otherwise agreed)
• Payment Methods: Bank transfer, credit card, or approved digital payments
• Currency: All fees quoted in AED unless otherwise specified
• Late Payment: 2% monthly charge on overdue amounts
• Refund Policy: Professional fees non-refundable after service commencement

6. Client Obligations and Responsibilities

6.1 Document Submission

Clients must provide:

• Complete and accurate documentation as per our checklist
• Original or properly attested copies where required
• Timely submission to avoid processing delays
• Additional documents if requested by authorities

6.2 Compliance Obligations

Clients are responsible for:

• Ongoing compliance with UAE laws and regulations
• Timely renewal of licenses and permits
• Maintaining registered office address requirements
• Filing mandatory returns and declarations

7. Service Limitations and Licensing Framework

7.1 Direct Service Limitations

TRILLION THOUGHTS FZE LLC's direct services are limited to:

• Consultation Services: Business advisory within our licensed scope
• Documentation Services: Application preparation and processing
• Platform Services: Digital tools and customer management systems
• Coordination Services: Project management and government liaison

7.2 Partner Service Framework

For services requiring specialized licenses:

• Licensed Partners: We engage only appropriately licensed service providers
• Professional Standards: All partners maintain required professional certifications
• Regulatory Compliance: Partners operate under their respective regulatory frameworks
• Quality Oversight: We monitor partner performance but do not control their professional judgments

7.3 Processing Time Limitations

Service completion times are estimates based on:

• Normal government processing periods
• Complete document submission by clients
• No additional requirements from authorities
• Availability of required appointments
• Partner service provider availability and workload

7.4 Government Authority Decisions

We cannot guarantee:

• Approval of applications by government authorities
• Specific processing timelines by third parties
• Availability of preferred company names
• Bank account opening approval (dependent on bank policies)
• Partner service provider decisions or recommendations

7.5 Professional Service Limitations

• Legal Advice: Legal services provided by licensed law firms in our network
• Financial Advice: Investment or financial planning through licensed financial advisors
• Accounting Services: Provided by certified public accountants and audit firms
• Business Success: We do not guarantee business success or profitability
• Client Decisions: We are not responsible for client business decisions

8. Intellectual Property Rights

8.1 Our Intellectual Property

Expandub owns all rights to:

• Website content, design, and functionality
• Cost calculator algorithms and databases
• Service methodologies and processes
• Marketing materials and branding

8.2 Client Content

Regarding documents and information you provide:

• You retain ownership of your business information
• You grant us license to use information for service delivery
• We maintain confidentiality as per our Privacy Policy
• We may use anonymized data for service improvement

9. Confidentiality and Data Protection

9.1 Confidentiality Commitment

We commit to:

• Maintaining strict confidentiality of client information
• Using information solely for service delivery purposes
• Implementing appropriate security measures
• Complying with UAE data protection regulations

9.2 Permitted Disclosures

We may disclose information when:

• Required by UAE law or regulation
• Necessary for service delivery to authorized third parties
• Requested by government authorities
• Required for legal proceedings

10. Limitation of Liability

10.1 Liability Limitations

Our liability is limited to:

• Maximum Amount: Total fees paid for the specific service
• Direct Damages Only: No consequential or indirect damages
• Time Limit: Claims must be made within 12 months
• Service Remedy: Re-performance of services where possible

10.2 Excluded Liabilities

We are not liable for:

• Government authority decisions or delays
• Changes in laws or regulations affecting your business
• Third-party service provider failures
• Client's failure to meet ongoing compliance requirements
• Economic losses or business interruption

11. Force Majeure

We are not liable for delays or failures in service delivery caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, technical failures, or changes in law.

12. Termination

12.1 Termination by Client

• 30-day written notice for ongoing services
• Professional fees for completed work remain due
• Government fees paid are non-refundable
• We will provide completed work and documentation

12.2 Termination by Expandub

We may terminate services for:

• Non-payment of fees after 30-day notice
• Material breach of these Terms
• Illegal activities or regulatory violations
• False information or documentation

13. Dispute Resolution

13.1 Complaint Resolution Process

• Step 1: Direct discussion with your account manager
• Step 2: Escalation to management team
• Step 3: Formal written complaint to complaints@expandub.com
• Step 4: Mediation through UAE commercial mediation

13.2 Governing Law and Jurisdiction

These Terms are governed by:

• UAE Federal Laws
• Sharjah Emirate Regulations
• SPFZE Free Zone Rules
• UAE Courts have exclusive jurisdiction

14. Changes to Terms

We may update these Terms periodically. Changes will be effective 30 days after notification through:

• Email notification to active clients
• Website posting with updated effective date
• Prominent notice in client portal

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
